Entire Agreement

In Brief: This is a contract between homemate and users of the Service. By using the Service, you agree to comply with these Terms as well as all applicable laws and regulations.
These Terms, along with any operating rules and policies posted on our website, including the Privacy Notice, constitute the entire legally binding agreement governing your use of the Service between homemate and Homeowners ("you")—consumers seeking repairs or renovations and looking for a contractor.
"Contractors" refers to legal entities providing repair or renovation services to Homeowners.

A printed copy of these Terms will be accepted in legal or administrative proceedings related to the use of the Service, with the same validity and conditions as other business documents and records originally maintained in printed form.

homemate Services for Homeowners

In Brief: The homemate Service helps Homeowners find Contractors for renovation services. You can request renovations, and we will match you with a suitable Contractor.
To request renovations, Homeowners should provide all required information on the Service, including location, type of services needed, and contact details. Once the request is submitted, you will receive a confirmation email with a summary. The information is then automatically sent to the relevant Contractors and cannot be modified or canceled through the Service.
Although our managers strive to oversee the service delivery process by Contractors, homemate does not participate in the actual provision of services and cannot guarantee the services provided by Contractors. Contractors are responsible for communicating with Homeowners, agreeing on service terms, and resolving any disputes related to the renovation services.
All Contractors contacting you through our Service are our clients. Please inform us if Contractors attempt to deceive us by reporting false information regarding the services they have or have not provided.

Intellectual Property

In Brief: All materials and intellectual property rights related to the Service belong to homemate or are used with the owner's permission. We grant you a limited license to use the Service and its Content only as specified in these Terms. Any violation of these restrictions may result in termination of your Service access, legal actions, and damages. You may also post content, granting homemate certain rights to display and share your submissions.

The Service is controlled and operated by homemate.
All materials on the Service, including data, text, graphics, charts, information, images, drawings, trademarks, logos, video, audio, music, software, games, scenarios, characters, and other materials (collectively, "Content"), as well as associated copyright and intellectual property rights, belong to homemate or are included with the consent of the respective owner.
Subject to your compliance with these Terms, homemate grants you a limited, temporary, personal, non-exclusive, non-sublicensable, revocable, non-transferable, worldwide license to use the Service and its Content on your devices as described in these Terms.

Any such actions will be considered a violation of these Terms and the rights of homemate. Violating these restrictions may lead to termination of your Service access and potential legal actions.
User Content
You may publish comments and feedback using trademarks, logos, trade names, texts, images, designs, graphics, icons, files, or other materials and information (“User Content”). By contributing User Content through the Service, you acknowledge that such User Content will be accessible to other users. Between you and homemate, you retain ownership of your User Content and the information you submit or post.
You grant homemate a limited, revocable, non-exclusive, sublicensable, transferable, royalty-free, perpetual, and worldwide license to access, use, copy, modify, distribute, publish, reproduce, create derivative works from, store, cache, and otherwise fully exploit the User Content you provide through the Service, without requiring further consent, notice, or compensation to you or any third parties.
You may terminate this license at any time by deleting your User Content. However, the license and permissions concerning your User Content will continue to apply to users who have previously downloaded or otherwise used your User Content.

Warranties and Disclaimers

In brief: The Service is provided to you “as is”. We make no promises regarding the Service or Content. The Service may experience malfunctions, but we will make every effort to restore its proper functioning.
The Service is provided to you “as is”.
Except as expressly provided in these Terms, homemate disclaims all other warranties regarding the Services, its features, and Content, to the fullest extent permitted by law. This includes, without limitation, warranties of merchantability, fitness for a particular purpose, and non-infringement of third-party intellectual property rights or other rights.
homemate does not guarantee that the Service will be uninterrupted or secure, or that any defects will be corrected.
homemate does not provide any guarantees to Homeowners or Contractors regarding service provision or acceptance. If Contractors refuse to provide services for any reason, or if you have a claim or do not wish to accept or pay for the results of services, homemate will not be involved in such disputes. We also do not guarantee immediate fulfillment of requests, as this depends on the type of repairs and the Contractors offering such services.

Limitation of Liability

In brief: You are responsible for using the Services in compliance with these Terms and any applicable laws and regulations. homemate’s liability is limited in accordance with this section, so please read it carefully to understand what to expect.
homemate is not responsible for any inaccuracies or incompleteness in the information, materials, or Content available through the Services.
You are solely responsible for the legality of your actions within the Service and for your use of the Service in accordance with applicable laws, regulations, and terms of third-party service providers.
Contractors are fully responsible for their employees, contractors, and consultants regarding any damage, crime, or other wrongful acts against Homeowners and their property during the provision of services.
In no event shall homemate, its subsidiaries, directors, partners, employees, contractors, or agents be liable for any direct or indirect, incidental, special, punitive, or consequential damages related to any use or inability to use the Services, including, without limitation, damages arising from the use of the information or Content provided through the Services, or from mistakes, omissions, interruptions, defects, or viruses, even if homemate has been advised of the possibility of such damages.
The limitations of liability outlined above do not apply to the extent prohibited by law.
If any part of the warranty disclaimers or limitations of liability is found to be invalid or unenforceable, or if we are otherwise found liable to you, our aggregate liability for all claims under such circumstances shall not exceed the total amount of payments made by you to homemate within the year preceding the claim.

Indemnification

Summary: If you breach these Terms, misuse the Service, or violate any laws or third-party rights, you agree to indemnify and defend Homemate.
You agree to defend, indemnify, and hold harmless Homemate, along with our subsidiaries, directors, partners, employees, contractors, and agents, from all claims, damages, losses, and expenses, including legal and accounting fees, arising from: (i) any breach of these Terms by you, (ii) your use or misuse of the Service and/or Content, (iii) a violation of applicable laws or third-party rights, or (iv) any claims from Contractors related to their services or wrongful acts by their employees and contractors.
We reserve the right to manage our legal defense as we see fit, even if you are providing indemnification. You agree to cooperate with us in executing our defense strategy.

Governing Law and Jurisdiction

Summary: We aim to resolve all disputes amicably. However, if a serious dispute arises, it will be resolved through the American Arbitration Association.
Except as prohibited by law and subject to any statutory consumer rights, you agree that any dispute, claim, or controversy arising from or related to the Service or these Terms, including its validity and enforceability, shall be resolved through good faith negotiations with the Homemate team.
If negotiations fail, any disputes or claims related to these Terms or their breach will be settled through arbitration administered by the American Arbitration Association, following its Consumer Arbitration Rules. The arbitrator's decision can be entered in any court with appropriate jurisdiction.
The arbitration will be conducted by a single arbitrator in Philadelphia, Pennsylvania. The laws of Delaware will govern the arbitration. Each party will bear its own costs and share equally in the arbitrator's and administrative fees. The arbitrator’s award will include a reasoned opinion. Disclosure of the arbitration’s existence, content, or results is prohibited unless required by law and must have prior written consent from both parties.

Electronic Communications

Summary: We use email to communicate with users, sending updates, recommendations, and information about the Service. You can unsubscribe from commercial emails at any time by following the instructions provided.
By using the Service and providing your contact details, you consent to receive electronic communications via email about: (i) your use of the Service, and (ii) updates to the Service and these Terms.

Additional Terms

We may transfer our rights and obligations under these Terms to a third party without affecting your rights or our obligations under these Terms.
